Two thousand seven hundred and eighty-eight companies have been delisted from the register of the Registrar-General’s Department for defaulting to file Annual Returns as required by the regulations of the Department.
The delisted companies are the first batch of the over 100,000 companies whose names have been published on the Department’s website and national dallies for failing to comply with Department’s directives.
A press release signed by Registrar-General, Mrs Jemima Oware, said the deletion of the names of the defaulting companies was part of the Department’s measure to clean-up its register.
The categories of companies delisted are 1,374 companies limited by share, 978 companies limited by guarantee (Churches, Fun Clubs, Associations, Union, and Schools), 41 external companies and 395 voluntarily owned up companies, it said.
It added that the delisting was in accordance with Section 289 of Companies Act 992 of 2019 which gives the Registrar-General the power to do so.
The release urged all defaulting and dormant companies, whose names did not appear on the first batch of deleted companies to file their Annual Returns by June 30th 2022 to avoid being removed from the Companies Register in phase two of the delisting exercise which begins in February 2022.
“Furthermore, Companies and Businesses which are yet to carry out updates of their records with the Department dubbed ‘re-registration’ have from 5th January to 31st December, 2022 to update their records with the Department”, it added.
According to the release, the penalty for late filing of Annual Returns will be increased from GH¢450.00 to GH¢500.00 after June 30th, 2022 but fees for filing Annual Returns and Beneficial Ownership information remains GH¢50.00 and GH¢60.00 respectively.
